THE COMPLIANCE GROUP, INC. LICENSE AGREEMENT

You and The Compliance Group, Inc. (“TCG”) incur certain benefits, rights, and obligations to each other when you use the online manual and use the data it contains. PLEASE BE SURE YOU READ THE LICENSE AGREEMENT CAREFULLY. BY USING THE ONLINE COMPLIANCE MANUAL AND/OR THE DATA INCLUDED THEREON YOU INDICATE THAT YOU HAVE READ, UNDERSTOOD, AND ACCEPTED THE TERMS OF THIS AGREEMENT.

Your Rights:

1. You may not use the product, even for evaluation purposes, without accepting the terms of this License Agreement.
2. If you have not yet purchased the product and have received a sample for evaluation purposes, you acknowledge that this License Agreement applies irrespective of whether you ultimately decide to purchase it. You are not obligated to purchase the product, but you are limited in how you may use the product, whether or not you purchase it.
3. You enjoy a nonexclusive license to use the online manual and the data recorded thereon (the “Data”) in accordance with the terms of this License Agreement. Upon payment in full, you will utilize the Data, but you acknowledge that you do not own the Data. You also acknowledge that the online manual and the Data are furnished “as is” and contain copyrighted and/or proprietary and confidential information of TCG.

There are limitations on your rights:

1. The online manual is for use by the number of users permitted by TCG’s terms of sale and license for this product. Unless expressly permitted in a written agreement between you and TCG, any copying, duplication, or replication of the online manual, or the Data will be deemed a violation of this Agreement and a violation of the rights of TCG under applicable law, including copyrights held by TCG.
2. You may not sell, license, lease, rent, loan, or otherwise distribute or network the online manual or the Data without the express written permission of TCG.

Should you fail to abide by this License Agreement and applicable law (including but not limited to copyright law) as it applies to the use of this online manual and the Data, your license to use the online manual and the Data will immediately terminate. You agree to erase the online manual and the Data immediately after receiving notice from TCG that this License Agreement has been terminated in accordance with the foregoing provision.

The online manual and the Data are provided “as is” and TCG expressly disclaims any and all other representations or warranties of any kind, including but not limited to any warranties of merchantability or fitness for a particular purpose. Any statements made about the utility of the online manual and/or Data are not to be considered as express or implied warranties. TCG will not be liable for any damages, whether direct, incidental, or consequential, incurred by you or any other person or entity, arising from or related to the use or misuse of the online manual and/or Data.

TCG IS NOT ENGAGED IN RENDERING LEGAL SERVICES, AND THE PROVISION OF THE ONLINE MANUAL AND THE DATA SHOULD NOT BE CONSTRUED AS THE PROVISION OF LEGAL ADVICE. IF LEGAL SERVICES ARE REQUIRED, THE INDIVIDUALIZED SERVICES OF AN ATTORNEY SHOULD BE SOUGHT. THE ONLINE MANUAL AND THE DATA ARE NOT A SUBSTITUTE FOR THE ADVICE OF AN ATTORNEY.

This License Agreement shall be governed by the laws of the State of California.
